Terms of Service for Center Face Ops

Applies to: https://www.centerfaceops.com, https://app.centerfaceops.com, and all related branded domains, pages, forms, funnels, surveys, calendars, and client portals.
1. Agreement
These Terms of Service govern access to and use of the software, websites, portals, messaging tools, automations, and related services provided by Center Face Ops. By creating an account, accessing the portal, or using any service, the client agrees to these Terms of Service and any related order form, proposal, statement of work, or subscription page incorporated by reference.
2. Services
Center Face Ops provides marketing agency services and may also provide access to a white-label software portal powered in part by GoHighLevel and related service providers. GoHighLevel states that its customers may use the platform to create websites and applications, offer their own products and services, send communications, and process their own customers’ personal information, while GoHighLevel acts as a processor or service provider for those customer activities.
Center Face Ops may modify, improve, suspend, or discontinue any feature at any time, subject to any express commitments in a signed service order.
3. Account Eligibility and Responsibilities
The client must provide accurate registration, billing, and contact information and keep it current. The client is responsible for all activity under its account, for maintaining the confidentiality of credentials, and for ensuring that its users comply with these Terms. The client is responsible for the legality, accuracy, quality, and rights clearance of all content, contacts, lists, messages, workflows, and data uploaded to or sent through the services.
4. Acceptable Use
The client may not use the services to:
· Violate any applicable law, regulation, court order, industry rule, or third-party right.
· Send unlawful, deceptive, harassing, defamatory, infringing, or abusive content.
· Upload or transmit malware, harmful code, or material intended to disrupt the platform.
· Misrepresent identity, origin, consent status, or authority to contact a person.
· Use purchased, scraped, or otherwise unlawfully obtained lead lists.
· Attempt to gain unauthorized access to accounts, data, systems, or networks.
Center Face Ops may suspend or restrict access for suspected violations, security threats, nonpayment, or misuse.
5. Messaging, Email, and Deliverability Disclaimer
The client is solely responsible for obtaining all legally required consents and opt-ins before sending SMS, email, voice, or other communications through the services. Center Face Ops does not guarantee message delivery rates, inbox placement, carrier acceptance, or uninterrupted availability of telecom, email, or third-party communication channels. Center Face Ops is not liable for delivery failures, filtering, delays, carrier blocks, spam classification, downstream platform outages, or third-party routing issues that are outside its reasonable control.
6. Fees, Billing, and Renewals
Fees, setup charges, subscription fees, usage fees, ad spend management fees, and any one-time project charges are described in the applicable order form or invoice. Unless otherwise stated in writing:
· Fees are due in advance on the billing cycle shown at checkout or in the order form.
· Charges are non-refundable once billed, except where required by law or expressly stated in writing.
· Late or failed payments may result in account suspension, feature restrictions, or termination.
· Taxes, duties, telecom fees, carrier surcharges, and third-party pass-through costs are the client’s responsibility unless stated otherwise.
Center Face Ops may change pricing for future billing periods on prior notice.
7. Third-Party Services
The services may depend on third-party providers for hosting, messaging, payments, analytics, identity verification, AI features, workflow automation, and support functions. Client use of connected third-party services may also be subject to those providers’ terms and policies. Center Face Ops is not responsible for third-party products, services, outages, content, pricing changes, or policy changes.
8. Data and Privacy Roles
For the client’s own customer and lead data processed through the portal, Center Face Ops generally acts as the primary service provider to the client, and GoHighLevel may act as a downstream processor or subprocessor in the service stack. HighLevel’s privacy policy states that when its customers collect or process personal information using the platform for their own products and services, the customer’s privacy notice applies and HighLevel acts as a processor or service provider for those activities. The client remains responsible for providing legally compliant notices, obtaining consents, honoring data subject rights where applicable, and ensuring it has a lawful basis for all processing and communications. By opting into our SMS messaging program, you agree to receive automated notifications and updates from Center Face Ops. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe or HELP for help. Carriers are not liable for delayed or undelivered messages.
9. Intellectual Property
Center Face Ops retains all rights, title, and interest in the services, software configuration, documentation, branding, templates, workflows, and other materials created by or licensed to Center Face Ops, except for client content and any rights expressly transferred in writing. The client retains ownership of its own trademarks, uploaded content, and customer data, but grants Center Face Ops a limited license to host, process, transmit, and display that material as necessary to provide the services.
10. Confidentiality
Each party must protect the other party’s confidential information using reasonable care and may use it only for performing or receiving the services. Confidential information does not include information that is public through no fault of the receiving party, already known without restriction, independently developed, or lawfully obtained from a third party.
11. Security
Center Face Ops will use reasonable administrative, technical, and organizational safeguards appropriate to the nature of the services. However, no system can be guaranteed 100% secure. The client is responsible for user permissions, password hygiene, endpoint security, backup decisions for exported data, and secure internal handling of customer information.
12. Term and Termination
These Terms remain in effect while the client uses the services. Either party may terminate according to the notice and renewal terms in the applicable order form, or immediately for material breach, unlawful use, or nonpayment if not cured within any stated cure period. Upon termination, Center Face Ops may disable account access and delete or anonymize data after a commercially reasonable retention period, subject to legal obligations, backup cycles, unresolved payment issues, or written transition arrangements.
13. Warranties Disclaimer
Except as expressly stated in a signed agreement, the services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Center Face Ops disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the services will be uninterrupted, error-free, or achieve any particular business result.
14. Limitation of Liability
To the fullest extent permitted by law:
· Center Face Ops is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunities, or anticipated savings.
· Center Face Ops is not liable for failures caused by third-party platforms, carriers, internet providers, domain providers, payment processors, hosting vendors, or subprocessors.
· Center Face Ops’ aggregate liability arising out of or related to the services will not exceed the total amount paid by the client to Center Face Ops for the services during the three months preceding the event giving rise to the claim and only to the extent permitted by applicable law.
15. Indemnification
The client will defend, indemnify, and hold harmless Center Face Ops and its affiliates, officers, employees, and contractors from claims, damages, losses, liabilities, costs, and expenses arising from the client’s content, data, campaigns, legal violations, consent failures, or misuse of the services.
16. Governing Law and Dispute
Any dispute resolution procedure, mandatory notice period, arbitration clause, jury waiver, or class action waiver shall be handled in the County of Maricopa, in the State of Arizona.
17. Changes to These Terms
Center Face Ops may update these Terms from time to time. A notice will be sent to client if an updated version is posted to the Center Face Ops Terms of Service page.
